Answer- The INCORPORATED church must follow their own bylaws for dissolution of assets. This usually involves transferring your assets to other 501 c3 organizations. The dissolution process might also involve an overarching entity’s dissolution rules such as the Baptist Church or Catholic Church agreement.

Form the new, UNINCORPORATED church before dissolving the INCORPORATED. Sell property or other assets to the unincorporated church over time. INCORP church can donate (perhaps do this before starting the dissolution process).
